1. General Principles and Applicability
1. These Terms and Conditions govern all estimates, quotes, contracts, and services provided by MSB Building Services ("Company", "we", "us") in Spain.
2. By accepting a proposal, making a payment/deposit, or signing a contract, the Client ("you") agrees to these Terms.
3. Where the Client acts as a Consumer under Spanish Law (Real Decreto Legislativo 1/2007), statutory consumer rights are strictly preserved.
2. Quotes, Budget (Presupuesto), and Acceptance
1. Validity: All official estimates (presupuestos) provided in writing are valid for 30 calendar days from issuance, unless specified otherwise.
2. Contract Formation: A contract is formed when the Client accepts the presupuesto in writing (via physical signature or email confirmation) and pays any required initial deposit (señal / anticipo).
3. VAT (IVA): All prices in quotes are quoted in Euros (€) and will explicitly indicate applicable Value Added Tax (IVA - standard 21%, or reduced 10% rate for qualifying residential building/refurbishment works where legal criteria are met).
3. Payment Schedule and Invoicing
1. Deposit: Work will not commence until the agreed initial deposit has been received to cover scheduling and material allocation.
2. Milestone Payments: For larger renovation or building projects, payments will be structured in installments according to agreed project milestones (certificaciones de obra).
3. Final Payment: The final balance is due upon practical completion of the works (recepción de la obra) and issuance of the final invoice.
4. Late Payments: Late payments shall incur statutory interest calculated under Law 3/2004 (Ley de Morosidad), starting from the day after the invoice payment due date.
4. Work Variations (Modificaciones de Obra)
1. Any changes, additions, or omissions requested by the Client after the initial presupuesto has been agreed upon will be considered a Variation.
2. All variations must be documented in a written variation note (Anexo / Modificación de Presupuesto) detailing price and timeline adjustments, signed or approved via email by the Client prior to execution.
3. Unforeseen structural, damp, hidden electrical/plumbing, or ground defects discovered during works will be reported to the Client immediately with a separate quote for remediation.
5. Site Access, Permits, and Client Obligations
1. Permits & Licenses: The Client is responsible for obtaining and paying for all necessary Municipal Building Licenses (Licencia de Obra Mayor / Licencia de Obra Menor or Declaración Responsable) from the local Town Hall (Ayuntamiento), unless explicitly contracted as a service managed by MSB Building Services.
2. Site Access: The Client must grant uninterrupted, safe access to the premises during standard working hours.
3. Utilities: The Client must provide basic working utilities (water and electricity) at the site free of charge for the duration of the work.
6. Delays and Force Majeure
1. Target completion dates are provided in good faith. MSB Building Services shall not be held liable for delays caused by:
Delays in municipal licensing or inspector site visits.
Severe weather events or adverse atmospheric conditions.
Supply chain bottlenecks or material import delays beyond reasonable control.
Unforeseen site conditions or late variations requested by the Client.
7. Cancellation Rights (Derecho de Desistimiento)
1. Consumer Rights: If a contract is entered into off-premises or remotely (e.g., agreed purely online/via email), consumer Clients have a statutory 14-calendar-day right to cancel without penalty.
2. Urgent or Immediate Works: If you explicitly request MSB Building Services to commence urgent or scheduled works before the 14-day cancellation window expires, you acknowledge that you remain liable for all labor performed and materials purchased up to the formal cancellation date.
8. Warranties and Statutory Guarantees (Ley de Ordenación de la Edificación - LOE)
Under Spanish law (Ley 38/1999 de Ordenación de la Edificación - LOE), where applicable to building works, our workmanship and construction guarantees are structured as follows:
1 Year (Cosmetic / Finishes): Covers minor defects or imperfections in finishes, plasterwork, painting, and tiling.
3 Years (Habitability & Installations): Covers non-structural defects affecting habitability, such as dampness, waterproofing failures, or plumbing/electrical installations.
10 Years (Structural Defects): Applies to major building works impacting structural elements (load-bearing walls, foundations, beams).
Note: Warranties do not cover damage caused by lack of normal property maintenance, structural movement outside the scope of our work, third-party interventions, or wear and tear.
9. Material Ownership (Reserva de Dominio)
All materials, fixtures, and building equipment delivered to or installed at the site remain the property of MSB Building Services until the total contract invoice balance is cleared in full.
10. Jurisdiction and Applicable Law
1. These Terms and Conditions are governed by and construed in accordance with the Laws of Spain.
2. For B2B contracts, both parties submit to the courts of [Insert City/Province, e.g., Alicante / Málaga / Madrid].
3. For Consumer contracts, any dispute will be brought before the competent courts of the Client’s domicile in Spain.
